    Mergers & Acquisitions

One of the biggest challenges of the energy sector in the European Union (and globally) is industry consolidation. It is particularly evident under the current unstable economic conditions that “survival of the fittest” in this sector often means further concentration of an already consolidated industry. However, every single decision leading in this direction should be thoroughly investigated: is it really justified from an economic/financial point of view? What are the expected consequences of the consolidation? What is the best implementation process? What are the potential threats and opportunities? E-I Consulting Group consultants have considerable experience in this sphere, covering financial, economic, market, HR, and legal issues. We propose the preparation of due diligence reports, business planning, risk analyses, and detailed projections including synergy effects and consolidation costs. E-I Consulting Group can provide support for another dimension of consolidation projects as well: smooth implementation, for the vertical, as well as the horizontal integration of the energy sector.

“Decisions on consolidation and acquisitions, due to their potential long-term consequences, have to be well-prepared and considered in every detail. I know that I can count on objective and professional support on the part of the Doradca Consultants Ltd. team – and this is a precondition for making the right decisions”.
    — Miroslaw Bielinski, President of the Board, Energa SA

ENERGA GROUP: Multi-dimensional advice regarding acquisition and consolidation projects for a large energy producer and distributor

Energa Group is one of the four biggest electric power holdings in Poland. Its distribution area covers 75,000 sq. km; the company provides electric power to 7 million people and 300,000 companies, mainly in northern and central Poland. The development of renewable energy sources is a pillar of Energa’s strategy – and the company’s ambition is to reach the position of a leader in building dispersed, and in particular renewable, energy sources. Doradca assisted Energa in the acquisition of a bio-fuel manufacturer, by providing a financial assessment of the deal, carrying out a due diligence of the company, drafting the legal and financial structure of the transaction, as well as participating in negotiations (2009). Other examples of consolidation assignments performed for the Energa Group include an acquisition of a district heating company in Ostroleka – in this case our support extended to drafting proposals concerning social and investment commitments (2008), and complex advice related to the consolidation of two subsidiary companies, dealing with IT and technical services (2009).
